1. Eligibility and Account Registration

• Adult-Only Service: Botbabe is an adult-oriented platform. You must be at least 18 years old (or the age of majority in your jurisdiction) to use this service. By registering, you represent that you are 18+ and legally permitted to use Botbabe. We do not allow any use of the service by minors, and content featuring any person under 18 is strictly prohibited.

• Account Setup: You must create an account to use Botbabe’s creator tools. Provide accurate, current information including a valid email address and secure password. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.

• Account Responsibility: You agree not to share your account or transfer it to anyone else. You are responsible for all content and actions taken through your account. Notify us immediately at master@fana.club of any unauthorized use or security breach. We may require additional verification (such as ID proof) if necessary to confirm you meet our eligibility requirements or to comply with law.

2. Description of Service

• Botbabe Platform: Botbabe provides tools for adult content creators to create and operate AI-driven chatbots on Telegram, automate content delivery, and monetize via pay-per-view (PPV) content. Botbabe does not itself produce or host your content – it acts as a technology provider for you to engage with your fans on Telegram. We facilitate chatbot setup, scheduling of content broadcasts, and integration with payment processors, but you as the creator are solely responsible for all content you generate, upload, or distribute using our service. Botbabe is not the publisher of user content, and we generally do not pre-screen or editorially control what you or your fans do through the service.

• Service Modifications: We reserve the right to modify, suspend, or discontinue any part of the Botbabe service at any time. We may add or remove features (for example, analytics dashboards, messaging capabilities, etc.) and will endeavor to notify users of major changes. We are not liable if any change affects your use or causes loss of data or functionality.

• Service Availability: While Botbabe aims to maintain a high level of service availability, the Service may occasionally be unavailable due to maintenance, updates, or technical issues. In such cases, Botbabe will make reasonable efforts to minimize disruptions and, where feasible, provide advance notice of scheduled downtime.

3. User Content and Conduct

• Your Content: "User Content" means any text, images, videos, audio, or other materials that you (or your fans) create, upload, send, or distribute through Botbabe (for example, chatbot persona dialogues, broadcast messages, or PPV content files). You retain ownership of your User Content. Botbabe does not claim ownership of the content you provide through the service. However, by using our service, you grant FANA a worldwide, non-exclusive, royalty-free license to host, transmit, display, and otherwise use your content only as needed to operate the service (for example, to store your chatbot scripts, to send your content to fans per your instructions, etc.). This license ends when you delete the content or your account (except to the extent it has been shared with others who have not deleted it, or we are required to retain it by law).

• Creator Responsibilities: You are legally responsible for all content you create or distribute via Botbabe. All participants depicted in your content must be adults (18+), and any explicit content must be consensual. You must ensure your content complies with all applicable laws in your country and in the regions where your fans reside. Botbabe allows adult (NSFW) content, but only to the extent such content is legal in the relevant jurisdictions. Any content involving minors (even non-sexual) is strictly banned. Likewise, you must not use Botbabe to create or share content that is illegal, harmful, or prohibited, including but not limited to:

  • Sexually explicit content involving minors (zero tolerance)

  • Bestiality, incest, necrophilia, or other extreme pornographic content (strictly prohibited)

  • Non-consensual or exploitative content (e.g. rape, hidden-camera material, revenge porn)

  • Content that depicts or promotes violence, self-harm, or hate speech beyond acceptable levels (you must not engage in harassment or hate content through your bot)

  • Illegal activities (such as instructions for crimes, trafficking, illicit drug sales, etc.)

  • Intellectual property infringement: You must only use content that you own or have rights to use. Do not use copyrighted material (images, text, video, etc.) in your bot or content broadcasts without permission. You are responsible for any copyright or trademark violations in your content.

  • Impersonation and Personal Data: Do not use the service to impersonate any person or entity without consent, and do not collect or expose personal data of any individuals without authorization.

• Content Moderation: Botbabe is not obligated to monitor User Content, and we do not routinely review content before it is sent through your chatbot. However, we reserve the right (but do not assume the obligation) to remove or restrict access to any content or accounts that we believe violate these Terms or the law. This includes suspending or terminating accounts that engage in prohibited content or behavior. We may also cooperate with law enforcement if content is suspected to be illegal (e.g., child exploitation material will be reported).

• Acceptable Use: You agree to use Botbabe only for its intended purpose of running an AI chatbot and engaging with fans. Do not misuse the platform, such as by attempting to hack or reverse engineer our software, spread malware, send spam, or interfere with the services or other users. Any such misuse can result in immediate termination of your account.

4. Payments and Monetization

• Service Subscription Payments (Creators):
  Botbabe’s service fees (e.g., Starter Plan, higher tiers) are processed through Gumroad (and potentially other external services in the future). When you subscribe to a Botbabe plan, the payment transaction is completed via Gumroad, and Gumroad’s terms and privacy policy apply to that transaction. Botbabe does not collect your full payment details; we may receive confirmation or metadata (e.g., transaction ID, payment amount) necessary to activate your subscription.

  • Subscriptions: All subscriptions are set to automatically renew monthly by default, with advance email notification before renewal.

  • You may upgrade or downgrade your subscription at any time; changes will take effect from the following billing cycle.

  • If you cancel mid-month, your subscription remains active until the end of the current billing period, after which cancellation takes effect.

• Fan Credit Purchases and Payouts (Content Sales):
  Fans purchase credits (e.g., Telegram Stars) through Telegram’s in-app payment system. These credits can be spent to purchase your pay-per-view (PPV) messages or other premium content in your Botbabe chatbot.

  • Payout Flow: After fans spend credits on your content, Botbabe will process the payout to you directly to your designated bank account based on the payment information you have provided.

  • Botbabe applies a service fee according to your selected creator plan:

    • 0% for certain premium plans

    • Up to 15% for Starter or lower-tier plans

  • The applicable fee rate will be communicated at signup and can also be found in the Botbabe pricing documentation.

• Payout via Payoneer:
  Botbabe plans to facilitate creator payouts using Payoneer, a trusted global payment solution enabling efficient cross-border transfers. Initially, payouts will be executed directly to your bank account, using only your name, email, and address collected by Botbabe for remittance purposes. Any required financial transaction details (e.g., transaction confirmation, recipient account details) will be managed and delivered via Payoneer’s secure system or email notifications provided to you by Payoneer.

• Refunds and Chargebacks:

  • Service subscriptions (Botbabe plans) follow Gumroad’s refund policies. Any subscription payment dispute should be handled in accordance with Gumroad’s terms.

  • Fan credit transactions are generally final due to the digital nature of the content. Refunds for fan credit purchases are governed by Telegram’s policies. Botbabe is not responsible for refunding credits spent on content, but may, at its discretion, suspend or terminate accounts in cases of fraudulent payment activity or abuse of the payment system.

• Taxes:
  You are solely responsible for determining and fulfilling any tax obligations arising from your use of Botbabe (e.g., income tax on payouts, VAT/GST if applicable to your sales). Botbabe does not withhold taxes on your behalf. It is your responsibility to report and pay any applicable taxes in your jurisdiction.

5. Intellectual Property Rights

• FANA’s IP: All rights, title, and interest in and to the Botbabe platform and services (including software, algorithms, web content, logos, trademarks, and documentation) are owned by FANA or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose while you have an active account. You may not copy, modify, distribute, sell, or lease any part of our software or included materials, nor may you reverse engineer or attempt to extract the source code of our software, except as allowed by law.

• Your IP and License to FANA: As noted in Section 3, you retain ownership of content you create. You represent and warrant that you have all necessary rights to upload or generate the content you use on Botbabe and that no content infringes or misappropriates the intellectual property or other rights of any third party. By using Botbabe, you grant us the limited license to use your content as described above, so we can operate the service (e.g., store your content and transmit it to your authorized audience). This license also extends to trusted third-party contractors or service providers of FANA solely for purposes of providing the Botbabe service (for example, cloud hosting providers that store data on our behalf). We will never use your content for unrelated purposes or marketing without your consent.

• Feedback: If you send us any suggestions, ideas, or feedback about the service, we may use it without any obligation to you. Any improvements or features developed based on your feedback are owned by FANA.

6. Copyright Infringement & DMCA Policy

• Takedown Requests: FANA respects intellectual property rights and expects users to do the same. If you believe that any content on Botbabe (distributed via a creator’s bot or otherwise) infringes your copyright, you may submit a takedown notice under the Digital Millennium Copyright Act (DMCA) or equivalent laws. The fastest way is to send an email to master@fana.club with the subject “DMCA Takedown Notice”. Your notice must include: (i) identification of the copyrighted work you claim is infringed, (ii) identification of the material you want removed (with details reasonably sufficient for us to locate it, such as the bot name, content description, or message ID), (iii) a statement that you have a good faith belief the use is not authorized by the copyright owner or law, (iv) your contact information, (v) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on their behalf, and (vi) your physical or electronic signature. Upon receiving a valid notice, we will expeditiously remove or disable access to the allegedly infringing content and notify the affected user (creator) so they have an opportunity to submit a counter-notification.

• Counter-Notification: If you are a creator and believe content was removed in error due to a mistaken copyright claim, you may send us a counter-notice. Your counter-notice must include: (i) identification of what was removed and where it appeared, (ii) a statement under penalty of perjury that you have a good faith belief the content was removed due to mistake or misidentification, (iii) your consent to the jurisdiction of the federal court in Delaware (or if overseas, consent to local jurisdiction and service of process from the claimant), and (iv) your physical or electronic signature. When we receive a valid counter-notice, we may restore the content after 10 business days unless the original claimant informs us they have filed a court action.

• Repeat Infringers: Botbabe will terminate accounts of creators who are found to be repeat infringers in appropriate circumstances.

  (Note: At present, FANA is a South Korean entity; we are in the process of determining U.S. agent registration for DMCA purposes. Even as a non-U.S. company, we follow the DMCA notice-and-takedown framework to respect copyright.)

• Other Complaints: If you need to report content for reasons other than copyright (for example, trademark infringement, defamation, privacy violations, or content that violates these Terms), please email us at master@fana.club with detailed information. We will review and take appropriate action at our discretion.

7. Termination of Service

• By You: You may stop using Botbabe at any time. You may also delete your account by contacting us at master@fana.club or through any account deletion feature we provide. If you delete your account, we will remove or anonymize personal data and content associated with your account, except as required for legal compliance or legitimate business purposes (e.g., we might retain transaction records without personal identifiers for accounting).

• By FANA: We reserve the right to suspend or terminate your access to Botbabe (or certain features of the service) at any time, with or without notice, if we believe, in our sole judgment, that: (i) you have violated these Terms or any applicable law; (ii) your use of the service creates risk of harm or legal exposure for us or other users; or (iii) we cease offering the service. In non-urgent cases, we will attempt to notify you of the issue and give you an opportunity to resolve it before termination. In cases of serious violations (e.g., sharing of illegal content, threats, or other egregious misuse), termination may be immediate.

• Effect of Termination: Upon termination, you no longer have access to the Botbabe platform. Any licenses granted to you by FANA will end. You must cease all use of our confidential information and IP. We have no obligation to provide you with copies of your data or content after termination (aside from any data portability rights you may have under law), so please ensure you have backup of any important content. Sections of these Terms that by their nature should survive termination (such as content ownership, disclaimers, limitation of liability, indemnity, dispute resolution) will continue in effect.

8. Disclaimer of Warranties

Use at Your Own Risk: Botbabe is provided to you on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind. FANA (including our owners, officers, employees, and agents) disclaims all warranties or conditions, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that arise from course of dealing or usage of trade. We do not guarantee that the Botbabe service will meet your requirements or expectations, be available on an uninterrupted, secure, or error-free basis, or that results obtained from use of the service (e.g. fan engagement or earnings) will be accurate or reliable.

For example, we make no warranty that the AI chatbot will perfectly mimic your persona or that it will not produce unintended or inappropriate responses. You use the platform understanding these risks. FANA makes no warranties regarding content: we do not guarantee the quality, safety, legality, or appropriateness of any user content you may encounter. You are solely responsible for your interactions and any content you access through the service.

Some jurisdictions do not allow the disclaimer of certain warranties, so some of the above disclaimers may not apply to you. In such cases, any required warranty is limited in duration to 30 days from first use of the service.

9. Limitation of Liability

Limited Liability: To the maximum extent permitted by law, in no event will FANA or its affiliates, or their respective officers, directors, employees, or agents, be liable to you for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) Botbabe or any content on the platform. This limitation applies whether the claim is based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

Cap on Liability: To the extent we are found liable notwithstanding the above limitation, our total cumulative liability to you for any claims arising from or related to the service is limited to the greater of US $100 or the total amount you paid us for the service in the past three months (if any). Because FANA currently does not charge creators a fee to use Botbabe (aside from third-party payment fees), in most cases this means $100 is the maximum recovery for any claim.

Exceptions: Nothing in these Terms limits or excludes our liability for gross negligence, willful misconduct, or any other liability that cannot be excluded by law (for example, certain statutory liabilities under applicable law). Also, the limitations above are not intended to affect any rights you may have as a consumer under mandatory law; in such cases our liability is limited to the minimum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless FANA, its affiliates, and their officers, directors, employees, and agents (the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise out of or relate to: (a) your use of Botbabe, (b) your User Content or the distribution/sale of your content (including any claims that your content is illegal, obscene, defamatory, or infringes a third party’s rights), (c) your violation of these Terms or of any law or regulation, or (d) any interaction between you and any fan or third party in connection with the service.

This means if a third party (for example, a copyright holder, a person depicted in your content, a government body, or a user) takes action against FANA because of something you did on Botbabe, you will cover any cost or liability that FANA incurs as a result. For instance, if you upload material that someone else owns and they sue us for copyright infringement, or if you distribute content that leads to a legal claim (such as unlawful explicit material) against us, you agree to pay our defense costs and any damages. We will notify you of any such claim and may allow you to assist in the defense, but FANA reserves the right to assume exclusive defense and control of any matter subject to indemnification (at your expense) if we deem it necessary. Your indemnity obligation will survive the termination of your account and this agreement.

11. Governing Law and Jurisdiction

• Governing Law: These Terms and any dispute arising from them or the Botbabe service shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws principles. We choose Delaware law as a neutral governing law given the international nature of our service. However, we operate from South Korea, and you understand that you must also comply with any local laws applicable to your conduct.

• Jurisdiction: Subject to the arbitration clause below, you agree that any disputes arising under these Terms that proceed in court shall be litigated exclusively in the state or federal courts located in Delaware, USA. Both you and FANA consent to the personal jurisdiction of those courts. If you are a user outside the U.S., you waive any objection to the Delaware forum on grounds of inconvenient venue or similar. (If you are a consumer in the EU or other jurisdiction with specific forum protections, this clause does not override any rights you have to bring claims in your home country’s courts where mandated by law.)

12. Dispute Resolution and Arbitration

Please read this section carefully. It requires individual arbitration of most disputes and affects your rights. By agreeing to these Terms, you waive your right to sue in court or have a jury trial for most disputes.

• Informal Resolution: We encourage you to contact us first to try to resolve any issue. Often we can answer questions or settle minor disputes amicably via email. You can reach us at master@fana.club for any concerns.

• Binding Arbitration: For any dispute, claim, or controversy arising out of or relating to these Terms or your use of Botbabe that cannot be resolved informally, either party can elect to have it resolved **exclusively by final and binding arbitration. If a party chooses arbitration, it will be administered by a reputable arbitration organization (such as the American Arbitration Association (AAA)) under its rules for consumer/commercial disputes. Arbitration means you will have a fair hearing before a neutral arbitrator instead of in a court with a judge or jury. The arbitrator can award any relief that a court of law could, but the proceedings will generally be quicker and more streamlined.

  • Arbitration Procedures: A single arbitrator will conduct the arbitration. The arbitration may be conducted in person in Delaware or another mutually agreed location. At your choice and if the applicable rules allow, you may also choose to have the arbitration conducted by telephone, video, or based on written submissions. The arbitration will be conducted in English. Confidentiality will apply – neither we nor you may disclose the existence or results of the arbitration, except as required to enforce the award or as allowed by law.

  • Costs: Each party will be responsible for paying their own attorneys’ fees and costs, but the arbitrator can award these fees if a law provides for them. We will pay any arbitration forum fees or arbitrator fees beyond those a court would require you to pay (for example, filing fees) to ensure the costs of arbitration are not prohibitive.

  • Exceptions: Either party may choose to bring an individual claim in small claims court (if it qualifies) instead of arbitration. Also, claims for injunctive relief (e.g., stop someone from infringing intellectual property or misusing the service) may be brought in court rather than arbitration. Criminal matters or government enforcement actions are not covered by this arbitration clause.

• Class Action Waiver: You and FANA agree that any disputes will be resolved on an individual basis, and not as part of a class, consolidated, or representative action. This means you cannot participate in a class action or class-wide arbitration against us. **By agreeing to arbitration, you are waiving your right to be part of a class action lawsuit or class arbitration against FANA】. An arbitrator shall not consolidate or join the claims of multiple parties and may not otherwise preside over any form of a representative or class proceeding. (The inclusion of this class action waiver is an important tool for companies to control legal risks and costs.)

• Right to Opt Out: If you do not wish to be bound by the arbitration and class-waiver provisions, you must notify us by email at master@fana.club within 30 days of first agreeing to these Terms. Include your full name and the email associated with your Botbabe account and a clear statement that you opt out of arbitration. Opting out will not affect any other provisions of these Terms. If you opt out, or in the event the arbitration clause is deemed unenforceable, you agree that any ensuing disputes will be resolved exclusively in the courts specified in Section 11 (Jurisdiction), and you waive any right to a jury trial.

• Governing Law for Arbitration: The Federal Arbitration Act (9 U.S.C. §1 et seq.) and federal arbitration law apply to this arbitration agreement (despite the general Delaware governing law in Section 11), because the nature of the transaction involves interstate or international commerce. The arbitrator will apply Delaware law to the merits of any dispute or claim, subject to any preemption by federal law.

By agreeing to these Terms, you acknowledge that you have read and understood this arbitration agreement and are knowingly waiving the right to trial by jury or to participate in a class action.

13. Miscellaneous

• Amendments: FANA may update or modify these Terms from time to time. We will notify you of material changes (for example, by email or by posting a notice on our website or dashboard). Updated Terms will be effective when posted, unless a later date is stated. If you continue to use Botbabe after the new Terms take effect, you will be deemed to have accepted the changes. If you do not agree to the changes, you must stop using the service and, if applicable, delete your account.

• No Waiver: If we fail to enforce any provision of these Terms, it will not be considered a waiver of our rights. Any waiver of any provision must be in writing and signed by an authorized representative of FANA.

• Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

• Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

• Entire Agreement: These Terms (along with any additional policies or guidelines incorporated by reference, such as our Privacy Policy) constitute the entire agreement between you and FANA regarding Botbabe, and supersede any prior agreements or understandings (whether written or oral) about the service.

• Language: These Terms are provided in English. If we provide a translation, it is for convenience only, and the English version will govern in case of any conflict.
